Common Stock Analysis from Waterfall
No matter how complex shareholder information becomes, CapControls offers insights into not only where you stand now, but how potential events affect your future. Create, execute and save multiple outcome scenarios using our proprietary iterative algorithms. With the ability to perform what-if scenarios, you can create hypothetical securities and override existing securities for decision support purposes.
- For preferred shareholders, the software identifies the optimal decision based on liquidation preferences, redemptions, accrued dividends, participation caps, convertibility and any other configurable attribute of the preferred stock.
- For a company with options, warrants, or other exercisable securities, CapControls’ proprietary calculations examine which securities are exercisable by recursively comparing exercise price with the fair market value of common stock.
- CapControls calculates the price of common stock after evaluating the number of available common and restricted shares, proceeds from preferences and dividends from preferred stock, and proceeds from exercisable and convertible securities.

- As with all CapControls grids, each ledger has advanced filtering, grouping, sorting, and Excel export capabilities.

CapControls neatly ties together shareholder information with scanned images of all related documents including employee and investor records, option and stock grants, stock purchase agreements, option agreements and transaction records. By providing secure, centralized access to permitted partners, CapControls eliminates the need for multiple sets of shareholder ownership information which can lead to decisions based on conflicting information from those multiple sources.
